Ayala Corp said it will delist its 5 pct convertible preferred class B
shares following the redemption of the shares on April 30. The shares
will no longer be tradeable beginning May 2.

On February 28, 1996, the Exchange approved the listing of AYALA
CORPORATION (the "Company") to list additional 1,000,000,000 Class
"B" Preferred and 33,333,333 Class "B" underlying common shares,
both with par value of P1.00 per share, to cover the Public Offering
of 1 Billion 5% Convertible Preferred Due 2001 at an offer price of
P1.00 per share. The Company informed the Exchange on April 10,
2001 (CB# 849-2001 dated April 11, 2001) that the redemption date of
Ayala Corporation Convertible Preferred "B" Shares shall be on April
30, 2001. As previously announced in the said circular, the record
date set by the Company was April 23, 2001 and the ex-date set by
the Exchange was April 18, 2001. In this connection, please be
advised that Ayala Corporation 5% Convertible Preferred Class "B"
Shares ("ACP") will be delisted and will no longer be tradable starting
May 2, 2001.

The Development Bank of Singapore Ltd and Ayala Corp have
transferred a combined 294.58 M shares held in Bank of the
Philippine Islands to Ayala DBS Holdings Inc, BPI said in a disclosure to
the stock exchange. Earlier this week, Ayala Corp and DBS told the
stock exchange they had transferred 333.84 M shares to the joint
holding company.

Ayala Corp and Development Bank of Singapore said they have
transferred about 333.84 M shares of Bank of the Philippine Islands
into Ayala DBS Holdings Inc, their joint venture company. Ayala DBS
Holdings will own about 22 pct of BPI and become the bank's second
biggest shareholder, it said. The stake is additional to the direct
interests of Ayala Corp and DBS in BPI of 26 pct and 9 pct,
respectively, it added.

Please be informed that Ayala Corporation (AC) and Development
Bank of Singapore (DBS) have affected the transfer of approximately
333,838,088 Bank of the Philippine Islands (BPI) shares into Ayala
DBS Holdings, Inc. (ADHI), a joint venture holding company owned by
AC (60%) and DBS (40%). ADHI, which has been ascribed local
nationality, will own about 22% of BPI, becoming the bank's second
largest stockholder. AC and DBS will continue to own direct holdings
of approximately 26% and 9% of BPI, respectively.
