Further to the company's disclosure letter to the PSE on March 23,
2001 on the subject matter, please be informed that Ayala Corporation
has signed an Underwriting Agreement covering the private
placement of 350,000,000 Preferred "AA" shares of Ayala
Corporation with an aggregate issue value of P1.745 B, with a group
of eight (8) local underwriters led by BPI Capital Corporation as Issue
Manager and joint underwriter.

Ayala Corporation said it will pay a quarterly cash dividend of 0.0125
pesos per share to holders of its convertible preferred B shares on
April 30. The record date is April 23. At 11:39 a.m., Ayala Corp shares
were unchanged at 7.20 pesos.
