This has reference to the news article "Wal-Mart and Carrefour in talks with 3 retailers" published in the October 9, 2000 issue of the Business World which reported that retailing giants, Wal-Mart Stores and Carrefour SA, are holding talks with Ayala Corporation's ("AC") representatives. AC in its letter to the Exchange, clarified that: "x x x we would like to advise you that Ayala Corporation is not in discussion with any of the parties mentioned."

Ayala Corp and SM Prime Holdings Inc, in separate statements issued today, said they are not engaged in talks for possible partnerships with Wal-Mart Stores or Carrefour SA. BusinessWorld yesterday reported that Wal-Mart and Carrefour were holding talks with representatives of Ayala and SM Prime. "We would like to advise you that Ayala Corporation is not in discussion with any of the parties mentioned," the company said in a letter to the stock exchange. SM Prime, likewise, said it is not negotiating with either of the two companies and added that it has not expressed willingness to allow foreign ownership in it mall business, as reported. "We would like to inform you that SM Prime Holdings Inc is not involved in talks with foreign retailers. We are not aware of the source of the news stating that SM Prime Holdings Inc is holding talks with Wal-Mart Stores and Carrefour SA," it said. Ayala closed 0.10 pesos lower at 6.40 yesterday, while SM shares closed down 0.20 at 4.25.
